Appearance of words and phrases in these bylaws have meaning as follows:

Establishment of the university shall be authorized by higher education council decision upon the request of the charitable foundation or the company and with the support of ministry for establishment of university.
University is a non-governmental educational institution and is a legal entity with financial and administrative autonomy which operates within Islamic Sharia and in a ways which does not contradict with laws and regulations.
Universities objectives should be to provide educational and training programs (above higher-secondary level), invest in elevating standards of education and academic research, and provide adequate academic specializations in line with kingdom’s education policy.
Charitable foundations or companies with at least five partners can establish a private university in accordance with requirements of these bylaws, partners may sell their shares on condition that count of partners always remain to be five.
University must have a draft statute prior to its establishment. Statute must not contradict with these bylaws and must be approved by the ministry.
University must have three colleges in one premises at the time of its establishment and the establishment of colleges must confirm what is mentioned in article six, of private colleges bylaws issued as per the decision of council of ministers no. 212 and date 28-11-2000.
University programs must be in disciplines needed in labor market. Programs should fulfill national development requirements.
University shall remain committed to the academic standards in provision of its programs, educational and technical plans with regard to curricula and qualification of faculty members, technicians and others.
University must perform its internal, educational, financial and administrative operations in such a way that it must not go against the provisions of these bylaws and established academic customs and traditions.
Secondary school certificate or equivalent, whether from the kingdom or from abroad, is a requirement for university admission, along with fulfillment of the other admission requirements as per relevant rules and regulations.
Authorities in the university are:
Board of Trustees
University board of trustees is formed by a decision of Minister of Education for renewable three year term, chosen from the following members:
Five university faculty members or faculty of other higher education institutions, at least of the rank of associate professor, chosen by the minister.
Twelve members chosen by the charity foundation or the company, at least two of them (who have worked or are working as higher education faculty members in the university or higher education institutions) shall not be founders or employed by the university.
It is possible to add more members in the board of trustees by the decision of the minister, if need of such addition arises. Members of the board shall elect amongst themselves a president and a vice president for the board, provided that none of them is the university rector.
As per the provisions of these bylaws, the authority of the board of trustees shall be stipulated in the statute of the university.
Board of trustees must meet at least twice in an academic year, and the quorum of the meeting attendance must be 2/3 of its members, and the decision should be issued with 2/3 majority of attending members, and the decisions of the board should be implemented from the date of its issuance, except the decisions related to appointment of university rectors, and college directors, and agents, and deanships and their agents.
And similar decisions related to approval of university system, and decisions and resolutions related to academic matters, remain in place unless there is objection by the minister, from one month of its receipt date, in case of minister's disapproval it is needed to promote decision once again, and the council may send it to the higher education council for opinion.
Board of trustees will choose one member to work as its secretary. Secretary shall supervise the meetings, and shall write the minutes of the meetings, send its agenda in advance to the council members, receive the member proposals, prepare draft agenda of each meeting
and attachment with meeting call and submit it to the president of board of trustees for endorsement.
In each university, there should be a council named (university council) as follows:
University rector – chairperson of council
Deputy dean or deputy president of university should inform university rector about their absence or vacating of his/her position.
College deans and support deanships.
Representative of higher education council secretariat.
It is possible to add a maximum of three faculty members to university council, by the decision of board of trustees president for two year renewable term, on recommendation of university rector and approval of board of trustees.
As per the provision of these bylaws, university council will act as a supervising authority council on administrative, academic training, and academic-research matters. Council shall utilize all its resources to accomplish mission of the university. Powers of the university council must have to be stipulated in university statute.
University council has to meet at least once a month by the invitation of its president, 2/3 member presence necessary for quorum. university council resolution must be approved by 2/3 majority. University council decisions are effective unless there is any objection raised by council president within 15 days from the day the council president acknowledgement.
Decision shall be submitted again to the board of trustees, and if they stick to their opinion, the said matter should be submitted again to board of trustees for another review.
There shall be a rector for the university. University rector is appointed by the decision of president of board of trustees, and approval of the minister based on board of trustees’ recommendation for four year renewable term. President of board of trustees may relieve him from his position based on board of trustees’ approval.
After the establishment of university, university rector is appointed by a decision of minister on the nomination of the charity or the company. Rector on charge status continues until that the board of trustees nominate a university rector.
It is mandatory that the appointed university rector must be a Saudi national, and must have worked as faculty member in any higher education institution, or working on key position in any of government universities. Rector shall work on full time basis and be from non-founders.
University rector is responsible for educational, administrative and financial affairs of the university, he represents the university before other entities. Rector shall prepare a semiannual report of the university council for submission to board of trustees. This report specifies the university's progress, challenges faced and provide solutions to address these and the achievements of this report period.
Deputy or university deputies and deans of colleges and their support deanships and their deputies are appointed by the decision of president of board of trustees, after approval of minister on the basis of nomination of university rector, and approval of board of trustees for three year renewable term. Those assigned shall be Saudi nationals, worked as faculty members, their level must be of at least assistant professor. They shall work as a full timers and be from non-founders.
College Councils consists of:
Dean as Chairperson
Deputies as Members
Head of the departments as Members
University council, may on college council suggestion, add to college council members a maximum of three members from faculty members from inside university or from outside, for two year renewable term.
Interim college council of new college is formed for one year by the decision of university council and has a chairperson and a minimum of three members having authority of dean from college council, and other department councils.
Subject to the rule of this bylaw, college council authorities shall be stipulated in the university statute.
College council shall meet at least once a month by invitation of its chairperson, and the meeting is not valid unless there is 2/3 presence of total members, and issue their decisions by majority of members present in the meeting. In case of equal votes, the side of president will prevail, and the decision will be implemented, if there is no objection from university rector within 15 days from the receipt date.
And if there is objection the decision will be returned to college councils for re-consideration, and for re-studying them, if the council remains on their opinion, the objected decision will be submitted to university council in their routine meetings or in special convened meeting. University council may attest the decision or amend it, or cancel it, or finally decide about it.
For each college department, there shall be councils, headed by a chairperson, members are faculty members of the department. Board of trustees shall establish scope of work, authorities of department councils and their workflow/procedures.
Department Head shall be appointed from Faculty members with administrative and academic distinction by the decision of university rector, based on suggestion of college dean, for a renewable two-year term.
Subjected to ministry supervision for the enforcement of this bylaw rules, ministry may particularly do:
Approve of university statute, academic and educational planning, certificates and degrees awarded.
Issue rules to ensure appropriate academic level for programs quality, educational curricula, and research centers.
Assure university's programs and curricula, are carried out in accordance with the objectives set for them and are in line with kingdom's education policy.
Periodic performance review through reports and field visits.
University revenue is comprised of:
- What is allocated to charity or company.
- Tuition fees.
- Revenue of research and studies, consultancy and training programs.
- Proceeds of the property and its disposition.
- Academic scholarships provided by individuals, establishments and companies.
- Charity trusts, donations, endowments, wills etc.
The charity or the company shall provide all guarantees necessary for monetary burdens of establishment and operation of the university for preserving the academic level of the university in accordance with the rules set by the ministry.
University shall have an independent budget. University shall maintain its financial accounts in conformance with the applied accounting rules, regulations and standards.
University shall not modify its' statute, procedures, disclosures, academic programs, curricula, academic degrees for which license was issued, except by a decision of minister conforming to the provisions of regulations herein.
In case a university failed in its activities, or in violation of its establishment decision, or governing provisions, higher education council has the right to take all necessary decisions and corrective measures to handle the situation.
University shall apply university regulations of studies and exams and unified regulations for higher studies in universities, which were issued by the higher education council.
Arabic language is the language of instruction in university, it is possible to teach in another language by the minister’s decision.
Minister shall issue the administrative and technical implementation rules for these regulations and procedures.
Higher education council is entitled to modify or interpret these bylaws.
These bylaws shall be published in official gazette and becomes effective from its publication date.
